Company

Norse Pipeline is a 342-mile system of high-pressured steel pipeline spanning 2.1 million acres in western New York and northwestern Pennsylvania along Lake Erie, formerly known as Columbia Gas Transmission's Project Penny (Pennsylvania and New York). The pipeline is situated in an area of prolific gas production with over 11,000 wells. Remaining recoverable reserves from the shallow formation for the area are estimated by the company to be more than 1.7 TCF- or over 10 times the current annual natural gas production for all of New York and Pennsylvania combined.

The system is 16 years old, relatively young by pipeline standards. The pipe is cathodically protected coated steel ranging from 4-inch to 12-inch in diameter. There are 11 compressors, at four stations, providing 4,680 BHP of compression. Norse Pipeline is the only gathering system in the Appalachian basin with the ability to consistently deliver gas at high pressures (720 psi). It delivers the local producers natural gas into Tennessee Pipeline at Mayville, NY and Union City, PA; into National Fuel Gas Supply at Sugar Grove, PA; into the utility company NEA Cross of NY; and is in the process of opening a delivery point into National Fuel Gas Supply at Little Valley, NY. We further intend to have our pipeline connected to additional outlets in the future.

At no cost to the producers, Norse Pipeline has installed electronic flow meters (EFM) for most of the producers connected to our system. Norse Pipeline is committed to the progress and prosperity of the local community. Its interests lie in area drilling, production and transportation of local gas.

Management

Øivind Risberg, President
Mr. Risberg entered the oil and gas business in the United States in 1991. Formerly, he was a partner and stock broker with Alfred Berg Norge AS, Scandinavia's largest brokerage firm. He holds a Bachelor of Science degree from the University of Oslo and a Bachelor of Business Administration degree from the Norwegian School of Management (BI).

Gary Counts, General Manager
Mr. Counts was the first employee of Project Penny over 20 years ago and has been responsible for its daily operations and maintenance for the past 16 years. From 1986 until he joined Norse Pipeline in 1999, he served as the Operations Supervisor of Project Penny for Columbia Gas Transmission. He holds an Associate of Science Degree in Petroleum Engineering Technology from the University of Pittsburgh.

Richard Metz, Associate
Mr. Metz is an executive officer and owner in UNIMARK LLC, a full service gas marketing company. Previously, he was VP of Marketing for Grace Petroleum Corp. in Oklahoma City responsible for its gas marketing, gathering and pipeline affiliates. He holds a Bachelor of Science degree in Chemical Engineering from Montana State University and a MBA from Oklahoma City University.

Dennis Holbrook, Associate
Mr. Holbrook is an attorney and consultant who has worked in the energy industry for over 25 years. He has served as General Counsel for the Gas Industry Standards Board and as Vice President for Gas Supply and Regulatory Affairs for National Fuel Gas Distribution Corp. Previously, he worked for the Federal Energy Administration and for the U.S. Senate. He earned his law degree from The Catholic University School of Law and his BA from Bucknell University.

Stuart Loewenstein, Associate
Mr. Loewenstein, President of Quest Energy, Inc., has 15 years of exploration and development experience in the Appalachian Basin; including work on several NYSERDA and DOE projects, and is responsible for successful exploratory and development drilling programs in the Upper Devonian, Oriskany, "Bass Island", Medina/Whirlpool and Rose Run plays. He holds a Bachelors degree in Geology and has completed all course work for a Masters degree.
